Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services provided by Proper Buying Group(“we,” “us,” or “our”). By creating an account or otherwise using our services, you agree to be bound by these Terms.

Please read them carefully. If you do not agree, do not access or use our services.

To use our services you must (a) be at least 18 years old, (b) reside in the United States or Canada, and (c) have the legal capacity to enter into a binding contract. We may verify your identity through third-party services at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

We may suspend or terminate your account at any time for violation of these Terms, applicable law, or in response to fraud or abuse.

As a vendor, you agree to purchase items from approved retailers as posted in our platform, to ship such items sealed and unopened to the address we designate within 72 hours, and to provide accurate receipts and identifying information.

Payout amounts are those posted at the time you claim a deal. Payouts are made using the method you select and are subject to fraud checks. Confirmed fraud (including but not limited to falsified receipts or resealed items) results in forfeiture of the applicable payout and possible account termination.

We reimburse shipping via prepaid labels we provide. We insure packages up to declared value while in transit. You bear no liability for eligible retailer cancellations, provided you mark the cancellation within 24 hours.

Payouts are queued upon warehouse intake of your shipment. Actual settlement time depends on the payment rail you select. We do not guarantee any specific payout time and are not liable for delays caused by banking partners.

You agree not to (a) use false, misleading, or fraudulent information; (b) purchase items using stolen payment credentials; (c) attempt to reverse-engineer or interfere with our services; (d) resell your account or transfer it to another person; or (e) use our services in violation of applicable law.

All content, trademarks, and technology used on our platform are the property of Proper Buying Group or our licensors. Nothing in these Terms grants you any right to use them except as strictly necessary to use our services.

Our services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Proper Buying Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

We may update these Terms from time to time. Material changes take effect 30 days after we post them and notify active vendors by email. Continued use after the effective date constitutes acceptance.
